These Terms and Conditions ("Terms") govern your use of the LeadVeris website and application operated by SC Egreta Events SRL. By purchasing a subscription, creating an account, or using the service, you agree to these Terms. If you do not agree, please do not use the service.

1. WHO WE ARE

2. DEFINITIONS

"Website" — leadveris.com, including the online store.
"App" — the LeadVeris planner and AI marketing assistant.
"Services" — the Website and the App together.
"Subscription" — a paid plan giving access to the App for a set period.

3. THE SERVICE

LeadVeris is a planner and AI assistant for paid advertising (Meta, TikTok, and Google Ads). It helps you organize campaigns, generates suggestions, analyses, launch plans, and creative feedback, and lets you chat with an AI assistant. The App does not connect to your advertising accounts and does not run ads on your behalf; it provides guidance based on the information you enter.

4. ACCOUNTS AND ACCESS

- Access to the App requires a valid Subscription and an access code, which you receive by email after purchase.
- You must provide accurate registration information and keep your login credentials confidential.
- You are responsible for all activity under your account. Accounts are personal and may not be shared, resold, or transferred.

5. AI ASSISTANT — IMPORTANT DISCLAIMER

The AI features provide informational suggestions only. They do not constitute professional, financial, or legal advice, and we do not guarantee any specific advertising result, performance, return, or outcome. Advertising results depend on many factors outside our control. You are solely responsible for:
- your advertising decisions, budgets, and spending;
- verifying any suggestion before acting on it; and
- complying with the policies of Meta, TikTok, Google, and any applicable law.
AI outputs may occasionally be inaccurate or incomplete.

6. SUBSCRIPTIONS, PRICES, AND BILLING

- Plans and prices are shown on the Website product page. The prices shown are final: SC Egreta Events SRL is not registered for VAT, so no VAT is added.
- We offer plans for 1 month, 3 months, and 12 months. The duration purchased determines how long your access lasts.
- Where a recurring plan is offered, your subscription renews automatically for the same period unless you cancel before renewal. Renewing with the same email automatically extends your access.
- We may change prices for future purchases; changes do not affect a period you have already paid for.

7. RIGHT OF WITHDRAWAL AND REFUNDS

The Services are digital content/services supplied online. Under EU consumer law, you normally have 14 days to withdraw from a purchase. However, by accessing the App and using the digital service immediately after purchase, you expressly request that performance begins during the withdrawal period and acknowledge that you lose the right of withdrawal once the service has been fully provided / once you have started using it.

Cancelling a subscription stops future renewals; it does not refund the current period already started. If you believe there is a billing error or a problem with the service, contact us at ofertare@leadveris.com and we will review it in good faith.

8. ACCEPTABLE USE

You agree not to:
- use the Services for any unlawful purpose or in breach of advertising-platform policies;
- copy, resell, sublicense, or share your account or access;
- attempt to reverse-engineer, disrupt, overload, or gain unauthorized access to the Services;
- upload content that is illegal, infringing, or harmful.
We may suspend or terminate accounts that breach these Terms.

9. YOUR CONTENT AND INTELLECTUAL PROPERTY

- You keep ownership of the content you enter and upload (campaigns, copy, images, videos). You grant us a limited license to process it solely to provide the Services to you (including sending relevant inputs to our AI provider to generate responses).
- The LeadVeris software, design, brand, and content remain our property or that of our licensors. You receive a limited, non-exclusive, non-transferable right to use the App during your Subscription.

10. AVAILABILITY AND "AS IS"

We work to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable for maintenance or for reasons beyond our control. The Services are provided "as is" and "as available".

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, we are not liable for indirect or consequential damages, lost profits, lost advertising spend, or lost data arising from your use of the Services. Our total liability for any claim is limited to the amount you paid for the Subscription in the 12 months before the claim. Nothing in these Terms limits liability that cannot be excluded by law.

12. SUSPENSION AND TERMINATION

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if a Subscription is not paid. Your data is handled as described in our Privacy Policy.

13. CHANGES

We may update these Terms and the Services from time to time. The "Last updated" date shows the current version. Continued use after changes means you accept the updated Terms.

14. GOVERNING LAW AND DISPUTES

These Terms are governed by Romanian law. Disputes are subject to the competent courts of Romania. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
